Incorporated in 2015, ATIF Holdings Limited is a consulting company offering financial consulting services to small and medium-sized enterprise customers in China.

Since our inception, the main focus of our consulting business has been providing comprehensive going public consulting services designed to help small and medium-sized enterprises become public companies on suitable markets and exchanges. Our goal is to become an international financial consulting company with clients and offices throughout Asia. We have to date primarily focused on helping clients going public on the OTC markets and exchanges in the U.S., but we are in the process of expanding our service to listing clients on domestic exchanges in China as well as the Hong Kong Stock Exchange.

In China, a fast-growing economy and a positive market environment have created many entrepreneurial and high-growth enterprises. Due to restrictions imposed by China’s foreign exchange regulations, it is difficult for foreign capital to enter China’s capital market. Because of the strict listing policies and a relatively closed financial environment in mainland China, most small to medium sized enterprises in the development stage are unable to list on domestic exchanges in China. Therefore, many Chinese enterprises strive to enter international capital markets through overseas listing for equity financing.

We aim to assist these Chinese enterprises by filling the gaps and forming a bridge between PRC companies and overseas markets and exchanges. We have a team of qualified and experienced personnel with legal, regulatory and language expertise in several overseas jurisdictions. Our services are designed to help small and medium sized enterprises in China achieve their goal of becoming public companies. We create a going public strategy for each client based on many factors, including our assessment of the client’s financial and operational situations, market conditions, and the client’s business and financing requirements.

We launched AT Consulting Center and acquired CNNM (www.chinacnnm.com) to complement and facilitate the growth of our going public consulting service. Our AT Consulting Center offers financial consulting and advisory services to enterprises, government entities, and individuals in Shenzhen. Our financial and news platform CNNM markets our consulting services to potential clients, as well as help our clients distribute corporate news and worldwide press releases.

On April 23, 2020, we have successfully completed the acquisition of approximately 51.2% of the issue and outstanding ordinary shares of Leaping Group Co., Ltd. (“LGC”). Through this majority-owned subsidiary, Leaping Group Co., Ltd., we are providing multimedia services and engaged in three major businesses including multi-channel advertising, event planning and execution, film and TV program production and movie theater operation. We operates the largest pre-movie advertising network in Heilongjiang Province and Liaoning Province of China and also provides advertising services in elevators and supermarkets. We are often hired to plan both online and offline advertising campaigns and produce related advertising materials. In addition, we invests in films and TV programs and distributes them in movie theaters or through online platforms.

On July 08, 2020, we acquired approximately 6.56 percent of ownership stake in AeroCentury Corp. (NYSE American: ACY, “AeroCentury”) through various open market transactions. AeroCentury is an independent global aircraft operating lessor and finance company specializing in leasing regional jet and turboprop aircraft and related engines. We are of the view that the common stock of AeroCentury is currently undervalued after careful analysis of its fundamentals and growth potential. We believe AeroCentury has a promising future and we expect to create long-term value for our investors through the investment.

Pishan Chi

Chief Executive Officer and Director

Mr. Chi was appointed to serve as ATIF’s Chief Executive Officer and Director effective July 10, 2020. Mr. Chi has served as IPO Service Specialist of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd., a subsidiary of ATIF since Jan 2016. During his role as IPO Service Specialist, Mr. Chi has served several corporate clients to be listed on the U.S. capital market. Mr. Chi has extensive experience on customized IPO consulting services, including corporate financial consulting, business presentation revising, listing schedules planning, etc. As a Canadian citizen, Mr. Chi graduated from the Queen’s University of Canada, and is fluent in English, Cantonese and Mandarin.

Jun Liu

President and Chairman of the Board

Mr. Jun Liu was appointed to serve as ATIF’s President and Chairman of the Board effective July 10, 2020. Mr. Liu has served as the President and Director of Asian Equity Exchange Group Co., Ltd., a subsidiary of a US public company Asia Equity Exchange Group, Inc. (“AEEX”), since November 2015. Mr. Jun Liu served as ATIF’s CEO and Director from June 6, 2019 to July 9, 2020. Mr. Liu served as the Chairman of the Board of Directors, President, and CEO of AEEX from July 2015 to September 2017, and the Chief Financial Officer of AEEX from December 2015 to July 2016. Mr. Liu founded Shenzhen Hubao Brother TV Co., Ltd. in November 2011 and was responsible for the company’s operations until June 2015. From May 2008 to December 2009, he served as the Chairman and President of Morgan Networks, an online shopping center in China. In December 2001, he founded an e-commerce company called the B2B.cn Group and served as Chairman and President and was responsible for company management and development planning until December 2007. During his six years in office, the B2B.cn Group developed into one of China’s ten largest e-commerce companies with 12 branches and 2,000 employees. From December 2000 to December 2001, he served as the head of marketing for the South China Branch of Alibaba. From February 2000 to December 2000, he served as the Vice President and President, successively, of the ZhongHua United Network. Mr. Liu holds a bachelor’s degree in Applied Physics from the Harbin Institute of Technology and a Ph.D. in International Finance from Camden University U.S.A. He is an economic consultant specially appointed by the Harbin Government, an EMBA visiting professor of Tsinghua University and Peking University. He was awarded the title of “Outstanding Innovative Entrepreneur in China” in October 2009, “Shenzhen Top Ten Person of the Year” in 2010 and “the Best CEO of Listed Company in China” in “Golden Bauhinia Awards” in 2018.

Fang Cheng

Chief Financial Officer

Ms. Cheng has been our Chief Financial Officer (“CFO”) since September 2018. Ms. Cheng has also served as the CFO of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since November 2015. From July 1984 to October 2015, Ms. Cheng served as the Chief Accountant of China Railway Zhuzhou Bridge Co., Ltd. She graduated from Correspondence College of Central Party School and has a strong understanding of international accounting and tax policies.

Yue Ming

Vice President

Ms. Ming was appointed to serve as our Vice President of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since October, 2019 and has been on the team since the founding of ATIF in 2015. Ms. Ming joined an accounting firm in 2009, and participated in several company listing projects in Fujian, Jiangxi, and other province in Mainland China. Ms. Ming also worked in the finance department of an investment company in India. Ms. Ming has extensive experience on customized IPO consulting services and specializes in the fields of financial analysis, corporate valuation, private equity financing and M&A. Ms. Ming is majored in International Trade of Central China Normal University.

Hongyu Yan

President of Listing Consulting

Ms. Yan was appointed as the President of Listing Consulting Department of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since October, 2019. Ms. Yan is the earliest practitioner of venture capital in China and has nearly 30 years of experience in corporate management and investment. Ms. Yan participated in the establishment and investment of the first overseas fund funded by the Shenzhen Municipal Government as well as participated in the process of going public abroad and venture withdraw regarding to large state-owned enterprises. Ms. Yan has provided financing consulting services for over a dozen of enterprises and has accumulated rich experience in financing consulting. Ms. Yan holds a Bachelor of Economics degree in International Economics from Beijing Institute of International Relations.

Qiang Chen

President of Asset M&A

Mr. Chen was appointed as the President of Asset M&A of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since June, 2020 and has been on the team since the founding of ATIF in 2015. Mr. Chen is a pioneer of domestic e-commerce and the Internet, and an expert in corporate management and training. Mr. Chen was the co-founder of B2B.cn, which awarded one of China’s ten largest e-commerce companies in China. Mr. Chen is specialized in the field of capital operation and has rich knowledge about the capital market policies and regulations among Mainland China, the United States and Hong Kong. Mr. Chen has extensive practical experience in IPO, RTO, SPAC, asset restructuring, and securities financing.

Min Chen

Director of Service Department

Ms. Chen was appointed as the Director of Service Department of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since June, 2020. Ms. Chen participated in corporate listing projects in the investment banking department of well-known securities companies and assisted companies to list successfully in capital markets of Mainland China, Hong Kong, and the United States. Ms. Chen has extensive knowledge and practical experience in capital markets, equity financing, listing schedules planning, etc.,. Ms. Chen holds a master's degree in Finance of Université Pierre-Mendès France.

Florence Ng

Legal Director

Ms. Ng was appointed as Legal Director of Qianhai Asia Times (Shenzhen) International Financial Services Co., Ltd. since September, 2019. Ms. Ng is a Hong Kong practicing lawyer specializing in mergers and acquisitions, corporate finance, commercial transactions and other business-related areas. Ms. Ng provides legal advice to many commercial institutions on projects such as share disposal, cross-border investment, private fundraising, pre-IPO restructuring and financing, IPOs, and post-listing equity fundraising, as well as assisting in due diligence, agreement negotiation and agreement drafting services. Ms. Ng holds a Bachelor’s degree in Laws of the University of London, a Master’s degree in Laws of the City University of Hong Kong, and owns a certificate in financial technology of the University of Oxford.

Jun Liu

Kwong Sang Liu

Mr. Liu has managed managed K.S. Liu & Company, CPA Limited, a company he founded, since May 1997. Mr. Liu is a practicing accountant in Hong Kong for over 20 years specializing in audit, taxation and corporate financial advisory. He is currently a non-executive director in a number of Hong Kong Stock Exchange listed companies. Mr. Liu graduated with honors from the Hong Kong Polytechnic University with a bachelor’s degree in Accountancy and holds a Master of Business Administration degree from the University of Lincoln, England. He is a certified tax advisor and fellow member of the Institute of Chartered Accountants in England and Wales, the Association of Chartered Certified Accountants, the Institute of Financial Accountants of the United Kingdom, the Institute of Certified Public Accountants of Australia, the Institute of Certified Public Accountants of Hong Kong, the Taxation Institute of Hong Kong, and the Society of Registered Financial Planners.

Yongyuan Chen

Independent Director Nominee

Mr. Chen has been a practicing lawyer in China and Australia for over 20 years. He is currently the director of China Commercial Law Co. Australia Pty Limited specializing in foreign investment, merger and acquisition and intellectual property laws. He holds a bachelor degree in international law from Jilin University of China, a Master’s degree in international economic law from Renmin University of China, and a Doctor’s degree in law from the University of Sydney. Mr. Chen is a member of the Pacific Rim Bar Association and All-China Law Society, a legal assistant to the Standing Committee of the Shenzhen Municipal People’s Congress, and a member of the WTO Committee of the Shenzhen Bar Association. He formerly served as legal counsel of the Ministry of Foreign Economic Relations and Trade, China National Technology Import and Export Corporation, and chief of the Policy and Regulation Division of Shenzhen Science and Technology Bureau. From April 2011, Mr. Chen has worked as senior partner at Guangdong Huashang Law Firm, Sydney Branch. From October 2007 to April 2008, Mr. Chen worked as senior partner at the Beijing office of the UK Law Firm, Lowells.

Longdley Zephirin

Mr. Zephirin was selected as the No. 1 Stock Picker by the Thomson Reuters Analyst Survey in 2010, and as a Master Stock Picker by the Wall Street Journal in 2008. Mr. Zephirin has served as the CEO and Director of Research at The Zephirin Group, Inc. since January 2014. From March 2015 to December 2016, he worked as a consultant at Barclays Wealth; from October 2006 to December 2012, he worked as an analyst consultant at Deutsche Asset Management. He attended Pace University Lubin School of Business where he studied Finance and International Law. Mr. Zephirin was a member of the board and benefit committee of Complexions Contemporary Ballet and Wiyo Ltd.
